Terms & Conditions
Last updated: 3rd November 2026
Introduction
Please read these Terms & Conditions (“Terms”) carefully before using the https://lbmtech.net website (the “Site”) or ordering any of the services described on it (the “Services”). The Site and the Services are provided by LBM Technologies Limited, trading as LBMtech (“Us”, “We” or “Our”), whose registered office is at 6c The Strand, Brixham, Devon, TQ5 8EH. Registered in England and Wales under company number 8997898. Data Protection Registration No. ZA321437 (Information Commissioner’s Office).
These Terms apply to all visitors to the Site and to every order for Services. Where We issue you with a written quotation, proposal or statement of work for a particular order (a “Quotation”), the Quotation forms part of your contract with Us and, if it conflicts with these Terms, the Quotation takes priority for that order.
By accessing the Site or ordering Services you agree to be bound by these Terms. If you disagree with any part of these Terms, please do not use the Site or order Services.
Trade Marks
“LBMtech” and the LBMtech logo are trade marks of LBM Technologies Limited. The Nestaviz software application and the Nestaviz® trade mark are owned by Mr Stephen Wheeler and licensed to LBM Technologies Limited.
All other trade marks, product names, service names and logos referred to on the Site (including those of WordPress, UX Builder, WooCommerce, bunny.net, Turso, Stripe and third-party email service providers) are the property of their respective owners. They are used for identification and descriptive purposes only and do not imply any endorsement of, affiliation with or sponsorship by those owners.
Quotations & Orders
If you are a consumer, you are encouraged to familiarise yourself with your rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms affects your statutory rights.
Unless a fixed price is published on the Site, We will provide a no-obligation Quotation based on the requirements you give Us. A contract is formed when you accept a Quotation or place an order for a published fixed-price Service and We confirm that order in writing (including by email).
When you place an order you may be asked to supply information relevant to it, such as your name, company, billing address and email address. You represent and warrant that (i) you have the legal right to use any payment method you use in connection with an order; and (ii) the information you supply to Us is true, correct and complete.
We reserve the right to refuse or cancel an order, including where the Service is unavailable, where there is an error in the description or price of a Service or in your order, or where fraud or an unauthorised or illegal transaction is suspected. If We cancel an order after you have paid, We will refund the amount you have paid for the cancelled Services.
Availability, Errors and Inaccuracies
We regularly update the information on the Site. Services may occasionally be mispriced, described inaccurately or unavailable, and We may experience delays in updating the Site. A Service shown on the Site is an invitation to contact Us, not a contractual offer.
We reserve the right to correct errors, inaccuracies or omissions and to change or update information at any time without prior notice. This clause is without prejudice to your statutory rights.
Website Design & Hosting
Website design and website hosting are supplied together as a single Service. We do not supply website hosting on its own, and We do not supply website design or build work for websites that are, or will be, hosted elsewhere.
- The design and build work, its scope and its fees are set out in your Quotation. Hosting is supplied as a Subscription (see “Subscriptions” below).
- Websites are built using WordPress with UX Builder and, where you sell online, WooCommerce. These and any plugins are third-party software supplied subject to their own licence terms.
- Once your website goes live you will have full access to manage it. You are responsible for changes that you, or anyone you authorise, make to the website’s content, plugins or settings.
- Your hosting Subscription includes access to your own hosting account and mailboxes. You are responsible for keeping the login details for your hosting account and mailboxes secure.
- If your hosting Subscription ends, your website and associated mailboxes will no longer be hosted by Us. Please contact Us before cancelling so that We can discuss the options for your website content.
Email Template Design
- Bespoke email templates are supplied as “Build Only” (We convert your ready-made design) or “Design & Build” (We design to your website or branding guide) at the prices published on the Site at the time of your order. Templates taller than 4,000 pixels incur an additional charge of £30 per additional 1,000 pixels.
- You must supply your design files, branding guidelines and brief in one of the accepted formats (PSD, EPS, AI, PDF, PNG, JPG, GIF, DOC, DOCX, TXT, email, ZIP or RAR). All text must be supplied in an editable format, not as an image.
- Our turnaround is 2 to 7 working days from receipt of cleared funds and all required files, depending on the complexity of the template. This is a target, not a guaranteed delivery date.
- Templates are built using Nestaviz and made available in your Nestaviz account. Your use of Nestaviz is governed by the Nestaviz Terms & Conditions.
- Fonts that are not email-safe are replaced with an email-safe fallback font. We are not responsible for rendering differences caused by modifying the HTML after it leaves Nestaviz, for example by importing it into a third-party WYSIWYG editor.
- If the template does not match the agreed brief, please tell Us and We will make reasonable amendments to bring it into line with the brief.
Email Campaigns & Anti-Spam
Our managed bulk email marketing campaign Service is supplied as a Subscription. We build your template, set up your campaigns, import the contact data you supply and send your campaigns on your behalf. The scope of the Service is set out in your Quotation.
Because campaigns are sent for you and in your name, you agree that:
- you have a lawful basis to send marketing emails to every contact you supply, and that each contact’s details were collected in compliance with the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003 (PECR). Usually this means the contact has given consent, or is an existing customer to whom the “soft opt-in” applies;
- you will not supply purchased, rented, borrowed, scraped or harvested contact lists;
- you will promptly tell Us about any person who has asked you not to email them, and you will not ask Us to re-add any contact who has unsubscribed;
- your campaign content will be lawful, accurate and not misleading, will clearly identify you as the sender, and will comply with applicable advertising rules; and
- you will provide any evidence of consent We reasonably request.
Every campaign includes a working one-click unsubscribe, and unsubscribes and bounces are processed automatically. We may refuse, pause or cancel any campaign which We reasonably believe breaches this clause or the law, or which risks the reputation of Our sending infrastructure, for example where complaint or bounce rates are unusually high. Where We do so, We will tell you why.
You are the controller of the contact data you supply. We process it on your behalf as your processor, as described under “Data Protection” below.
SaaS Project Builds
- Each SaaS project is scoped individually. Your Quotation sets out the deliverables, technologies, milestones, fees and payment schedule for your project.
- Projects are built using a JavaScript / TypeScript frontend, bunny.net (CDN, WAF and Edge Scripting) and Turso, unless your Quotation states otherwise. Your Quotation will state whether third-party platform and usage charges are included; where they are not, those services are subject to the relevant provider’s own terms and charges.
- Ownership of the bespoke code and other deliverables created specifically for you is as set out in your Quotation. Unless your Quotation says otherwise, ownership of those bespoke deliverables passes to you once all fees for the project have been paid in full. We retain ownership of Our pre-existing tools, code libraries, frameworks and know-how, and grant you a non-exclusive, perpetual licence to use them as part of the delivered project.
- Requests that fall outside the agreed scope will be quoted for separately before any additional work begins.
Prices & Payment
Prices are shown in pounds sterling (GBP). Any VAT applicable will be stated on your Quotation or invoice.
For one-off Services, such as email templates, full payment is required before work starts, unless otherwise agreed in writing. For projects with a payment schedule, payments are due as set out in your Quotation.
Card and digital wallet payments are processed by Our payment provider, Stripe. We also accept direct bank transfers. Invoices are sent electronically to the email address you provide. We do not store your payment card details.
Subscriptions
Ongoing Services, such as website hosting and managed email campaigns, are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring, periodic basis (“Billing Cycle”). The Billing Cycle is monthly unless your Quotation states a different period.
At the end of each Billing Cycle your Subscription will automatically renew under the same conditions unless you cancel it or We cancel it. To cancel your Subscription renewal, email us.
A valid payment method is required for your Subscription. By providing it, you authorise Us to charge the Subscription fees for your account to that payment method. If automatic billing fails for any reason, We will issue an electronic invoice which must be paid by the date shown on it.
Fee Changes
We may change Subscription fees from time to time. Any change will take effect at the end of the then-current Billing Cycle. We will give you reasonable prior notice of any change so that you have the opportunity to cancel your Subscription before it takes effect.
If you continue to use the Service after a fee change takes effect, you agree to pay the revised fee.
Cancellations & Refunds
Consumers. If you are a consumer, you have a legal right to cancel a contract for Services within 14 days of the day it is formed. If you ask Us to start work within that 14-day period, you must pay for the Services provided up to the time you tell Us you wish to cancel, and you will lose the right to cancel once the Services have been fully performed.
Email templates and design work. If work has not started, you may cancel and receive a full refund. Once work has started, design and build work is non-refundable, except where required by law.
Subscriptions. You may cancel a Subscription at any time by contacting Us; cancellation takes effect at the end of the current Billing Cycle, unless your Quotation specifies a minimum term. Subscription fees already paid are non-refundable, except where required by law or as set out under “Events Outside Our Control”.
SaaS projects. Cancellation of a SaaS project is subject to the terms of your Quotation; fees for work completed up to the date of cancellation remain payable.
Refunds are made to the original payment method and processed within five working days of being agreed.
Accounts & Nestaviz
Some Services give you access to accounts, such as a hosting account, mailboxes or a Nestaviz account. You must provide accurate, complete and current information, keep your passwords secure and confidential, and notify Us immediately if you become aware of any unauthorised use of your account.
Your use of a Nestaviz account is governed by the Nestaviz Terms & Conditions and Privacy Policy, available at nestaviz.com.
You are responsible for keeping your own copies of the content, templates, designs and other material you supply to Us or create using the Services. While We take reasonable steps to safeguard data, and subject to the clause titled “Limitation Of Liability”, We do not accept responsibility for the loss of material of which you have not kept a copy.
Your Content
You warrant that you own, or have permission to use, all logos, text, images, data and other material you supply to Us (“Your Content”), and that Our use of Your Content to provide the Services will not infringe anyone else’s rights or break the law.
You grant Us a non-exclusive licence to use Your Content for the sole purpose of providing the Services to you. You remain responsible for the accuracy and legality of Your Content.
Data Protection
Where We collect and use your personal data to run Our business (for example, when you contact Us or place an order), We do so as a controller, as described in Our Privacy Policy.
Where We process personal data on your behalf in providing the Services (such as campaign contact lists, data collected through a website We host, or end-user data held in a SaaS project), you are the controller and We are your processor. In that case We will:
- process the personal data only on your documented instructions, including as set out in these Terms and your Quotation;
- ensure that people authorised to process the data are bound by confidentiality;
- take appropriate technical and organisational measures to protect the data;
- only engage sub-processors under written terms that protect the data, and tell you of any intended changes to them;
- assist you, where reasonably possible, in responding to requests from individuals exercising their rights, and in meeting your security, breach notification and data protection impact assessment obligations;
- notify you without undue delay after becoming aware of a personal data breach affecting the data;
- at the end of the Services, delete or return the data at your choice, unless the law requires Us to keep it; and
- make available the information reasonably needed to demonstrate compliance with Article 28 of the UK GDPR.
Intellectual Property
The Site and its original content, features and functionality are and will remain the property of LBM Technologies Limited and its licensors, and are protected by copyright, trade mark and other laws of the United Kingdom and other countries. Ownership of deliverables created for you is dealt with in the clauses for each Service above and in your Quotation.
- You agree not to copy, modify, frame, mirror, republish or distribute the Site, or any part of it, except as permitted by law.
- You agree not to de-compile, reverse engineer or disassemble any software We provide as part of the Services, except as permitted by law.
- You agree not to access, store, distribute or transmit viruses or any harmful or illegal material through the Site or the Services, or attempt to gain unauthorised access to them.
Links To Other Websites
The Site may contain links to third-party websites or services that are not owned or controlled by Us. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party websites or services. We advise you to read the terms and privacy policies of any third-party websites you visit.
Termination
We may suspend or terminate a Service, with notice where reasonably practicable, if you materially breach these Terms (including the clause titled “Email Campaigns & Anti-Spam”) or fail to pay fees when due. Where We terminate a Service other than for your breach, We will refund any fees you have paid in advance for the period after termination.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, payment obligations for work completed, warranty disclaimers, indemnity and limitations of liability.
Indemnification
This clause applies only if you are using the Services wholly or mainly in the course of a business, trade, craft or profession (a “Business User”). It does not apply if you are a consumer.
If you are a Business User, you agree to indemnify Us and Our licensors, and their employees, contractors, agents, officers and directors, against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal costs) arising out of (a) Your Content; (b) campaigns sent on your instructions to contact data you supplied; or (c) your breach of these Terms.
If you are a consumer, you remain responsible for any loss or damage We suffer as a result of your breach of these Terms, but only where that loss or damage was a foreseeable consequence of the breach at the time you accepted these Terms.
Limitation Of Liability
Nothing in these Terms excludes or limits Our liability for death or personal injury caused by Our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Nothing in these Terms affects your statutory rights as a consumer.
Subject to the paragraph above, We shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, data, use, goodwill or other intangible losses, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise.
Subject to the first paragraph of this clause, Our total aggregate liability to you arising out of or in connection with any order shall not exceed the total fees paid by you for that order or, for a Subscription, the fees paid in respect of the twelve (12) months before the event giving rise to the claim. If you are a consumer, this monetary limit does not apply to loss or damage that was a foreseeable consequence of Our breach of these Terms.
If you are a Business User, any claim must be brought within twelve (12) months of the date on which you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.
Disclaimer
To the fullest extent permitted by law, and without affecting your statutory rights as a consumer, the Site is provided on an “as is” and “as available” basis. We do not warrant that the Site or any hosted Service will be uninterrupted, secure or available at any particular time, that any errors will be corrected, or that the Site is free of viruses or other harmful components.
Exclusions
Subject always to the first paragraph of the clause titled “Limitation Of Liability”, We will not be liable for the results of email campaigns (such as open, click or conversion rates), for search engine rankings, or for the acts or omissions of third-party providers whose software or services you choose to use, including email service providers and website plugins.
Events Outside Our Control
We shall not be liable for any failure or delay in performing Our obligations where it results from a cause beyond Our reasonable control. This includes failure of the internet or any public telecommunications network; hacking, denial of service or other malicious attack; failure, interruption or withdrawal of the services of Our hosting, database, content delivery, email or payment providers; power failure; industrial action; epidemic or pandemic; fire, flood or storm; and any act or omission of government or regulatory authority.
Where such an event prevents Us from providing a Service for a continuous period of more than thirty (30) days, either you or We may terminate the affected Service on written notice, and We will refund any fees you have paid in advance for the period during which the Service was unavailable.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, and you and We submit to the jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of your home nation and retain the benefit of any mandatory consumer protections that apply there.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of it. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in effect. These Terms, together with any Quotation, constitute the entire agreement between you and Us regarding the Services.
Third Party Rights
Except as set out in this clause, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Terms. Our directors, officers, employees, contractors, agents and licensors (including Mr Stephen Wheeler in his capacity as licensor of the Nestaviz software application and trade mark) may enforce the clauses titled “Indemnification”, “Limitation Of Liability”, “Disclaimer”, “Exclusions” and “Events Outside Our Control” as if they were a party to these Terms. Their consent is not required to vary, rescind or terminate these Terms.
Changes
We may update these Terms from time to time. If a change is material, We will try to give at least 30 days’ notice before it takes effect for existing Subscriptions. Orders are governed by the version of these Terms in force when the order was placed, unless you accept a later version.
Privacy Policy
Please read Our Privacy Policy, which explains how We collect and use personal data.
Support
You can raise a support request at any time, 24/7/365. To do so, email us or, where provided, use Our support ticket system. We aim to respond within 8 standard working hours (Monday to Friday, 09:00 to 17:30, excluding UK public holidays), although this is a target rather than a guaranteed response time.
